Staffing Terms & Conditions

These Terms & Conditions govern the purchase of staffing and recruiting services from Officials Unlimited, LLC for leagues, tournaments, clubs, and sports organizations.

By checking the acceptance box at checkout, submitting a staffing order, or otherwise engaging Officials Unlimited for staffing services, the purchaser acknowledges that it has read, understood, and agreed to these Terms & Conditions.

1. Services

Officials Unlimited, LLC ("Officials Unlimited," "OU," "we," "our") provides staffing, recruiting, sourcing, and related officiating support services for sports organizations ("League," "Client," or "you"). Services may include identifying, recruiting, referring, and coordinating officials for games, events, showcases, or league operations.

Unless otherwise stated in writing, staffing services do not include payroll administration, employment of officials by the League, legal compliance obligations of the League, or guaranteed fill rates for every game or event.

2. Independent Contractor Relationship

Officials Unlimited is an independent contractor. Any officials sourced, referred, or coordinated through Officials Unlimited are independent contractors unless expressly stated otherwise in a separate written agreement. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between Officials Unlimited and the League.

3. League Responsibilities

The League agrees to:

  • Provide accurate schedules, locations, game times, sport format, age divisions, and rule modifications.
  • Provide a safe playing environment and maintain appropriate insurance coverage for league operations.
  • Communicate schedule changes, cancellations, or special requirements in a timely manner.
  • Be responsible for coaches, spectators, participants, and on-site administrators.
  • Pay all service fees, staffing fees, and any other agreed charges when due.

4. Staffing Efforts and Availability

Officials Unlimited will use commercially reasonable efforts to source and coordinate qualified officials based on the League’s requested needs. However, staffing availability depends on market conditions, geography, sport, experience level, game volume, timing of notice, and official availability. Officials Unlimited does not guarantee that every open game, event, or position will be filled.

5. Payment Terms

Unless otherwise stated in a signed agreement or invoice, all invoices are due within seven (7) days of receipt. Officials Unlimited may accept payment by ACH, credit card, check, or other mutually approved payment method.

Any unpaid balance may accrue a late charge of five percent (5%) per month, or the maximum amount permitted by law, whichever is less. Client is responsible for all reasonable costs of collection, including attorneys’ fees and collection expenses, if payment is not made when due.

6. Non-Refundable Fees

All payments made to Officials Unlimited are non-refundable unless Officials Unlimited expressly agrees otherwise in writing. Fees are earned upon receipt and are not contingent upon completion of a season, weather conditions, forfeits, reduced game volume, schedule changes, staffing market conditions, or early termination by the League.

No refunds, credits, offsets, or chargebacks shall be issued for services already performed, recruiting efforts already undertaken, administrative work already completed, or staffing capacity reserved for the League.

7. Schedule Changes, Cancellations, and Weather

The League is responsible for promptly communicating cancellations, postponements, location changes, and game-time changes. Officials Unlimited is not responsible for losses, shortages, or extra costs caused by late changes, inaccurate scheduling information, unsafe conditions, or weather-related disruptions.

Unless otherwise stated in writing, cancellation of games or reduction in season volume does not eliminate the League’s obligation to pay previously agreed staffing or service fees.

8. Conduct, Safety, and Removal Rights

The League must maintain an environment reasonably suitable for officiating services. Abuse, threats, harassment, unsafe field conditions, or repeated misconduct by coaches, spectators, participants, or staff may result in temporary suspension of services, refusal to cover future contests, or immediate removal of officials from an assignment if safety is at issue.

9. Limitation of Liability

To the fullest extent permitted by law, Officials Unlimited shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost revenue, lost registrations, reputational harm, scheduling disruptions, or event-related losses arising out of or relating to staffing services.

Officials Unlimited is not liable for injuries, damages, disputes, or claims arising from game play, participant conduct, spectator conduct, facility conditions, league administration, or decisions made by the League or third parties, except to the extent directly caused by Officials Unlimited’s gross negligence or willful misconduct.

10. Indemnification

The League agrees to defend, indemnify, and hold harmless Officials Unlimited, its owners, managers, employees, contractors, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to league operations, event administration, participant injury, spectator conduct, coach conduct, field or facility conditions, or the League’s breach of these Terms, except to the extent caused by Officials Unlimited’s gross negligence or willful misconduct.

11. Term and Renewal

If the parties have executed a separate staffing agreement, the term and renewal provisions in that agreement shall control. If no separate agreement states otherwise, staffing arrangements will continue for the applicable season and may renew for future seasons unless either party provides at least thirty (30) days’ written notice of non-renewal before the next scheduled season or service period.

12. Governing Law and Venue

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Any legal action arising out of or relating to these Terms shall be brought in the appropriate state or federal court located in Florida, and the parties consent to jurisdiction and venue in those courts.

13. Entire Agreement

These Terms & Conditions, together with any approved proposal, invoice, service order, or signed staffing agreement, constitute the entire agreement between the parties regarding staffing services and supersede prior discussions relating to the same subject matter. In the event of a conflict, a separately signed written agreement will control over this website version.
